How to make an overlay div box to auto match the height of the behind div box

Hello,

I am trying to make this lay-out:

And would like the front box ( grey box on the left with text inside) to be automatically the same height of the behind box (image).

This will be used to style a CSS with images of various height (therefor the black box needs to auto-match the height of the image)

Any advise?
